Public offer
This document is an official public offer by Товариство з обмеженою відповідальністю "ММ МЕДІК" (hereinafter referred to as the "Seller") to an unlimited number of persons to enter into a distance sale and purchase agreement (hereinafter referred to as the "Agreement") on the terms set out below.
1. General provisions
1.1
The preamble of this Agreement is an integral part thereof.
1.2
In accordance with articles 633, 641, 642 of Civil Code of Ukraine, this Contract is public, and its terms are same for all Buyers.
1.3
The moment of the Buyer's full and unconditional acceptance of the Seller's proposal to enter into this Agreement (acceptance of the offer) is the placement and confirmation of an Order on the website https://mm-medic.com (hereinafter referred to as the "Site") or the payment for the Order.
1.4
By concluding this Contract, Buyer confirms that they fully familiarized and agree with all its terms. If Buyer does not agree with terms of this Contract, they should not place Order on Site.
2. Term definitions
- Seller LIMITED LIABILITY COMPANY "MM Medic" (EDRPOU code 40823358), which sells physical goods presented on Site.
- Buyer any capable natural person who has reached age of 18, who accepted this public offer on terms set forth in it.
- Web-site Seller's website located on Internet at https://mm-medic.com, including all its web pages and subdomains.
- Product object of party transaction (medical devices, hygiene products, cosmetics and other physical goods) presented for sale by Seller on Site.
- Orders a duly completed request by the Buyer for the purchase of Products, placed on the Website.
3. Subject of Contract
3.1
The Seller undertakes to transfer ownership of the Products to the Buyer, and the Buyer undertakes to pay for and accept the Products on the terms of this Agreement.
3.2
This Agreement governs the sale and purchase of products on the Website, including:
- the Buyer's voluntary selection of Products from the Website catalog;
- independent placing of Order by Buyer on Site;
- payment by Buyer for Order placed on Site;
- the processing, delivery, and transfer of the Order to the Buyer under the terms of this Agreement.
4. Order placement procedure
4.1
Buyer independently places Order on Site by adding selected Goods to virtual "Cart" and clicking "Place order" button.
4.2
To place Order, Buyer must provide complete and reliable information necessary to fulfill Order, namely: surname, first name, contact phone number, email address, delivery address.
4.3
Buyer bears full responsibility for accuracy and truthfulness of data provided by them when placing Order.
4.4
Seller has right to refuse to place Order if they have grounds to believe that information provided by Buyer is unreliable or incomplete.
5. Price and Payment procedure
5.1
Product prices are listed on the Website in the national currency of Ukraine—the hryvnia (UAH) per unit.
5.2
Prices for Goods include all taxes provided by law.
5.3
Total cost of Order consists of cost of all selected Goods and delivery cost, if applicable. Delivery cost calculated separately and indicated when placing Order.
5.4
Payment for Order made by Buyer in form of 100% prepayment using Liqpay payment system integrated on Site.
5.5
Buyer's obligations to pay for Goods considered fulfilled from moment Seller receives confirmation from Liqpay payment system about successful debiting of funds from Buyer's account.
5.6
Seller has right to unilaterally change prices for Goods. Changes do not apply to Orders already paid by Buyer.
6. Goods delivery terms
6.1
Orders delivered throughout Ukraine, except temporarily occupied territories.
6.2
Delivery methods determined by Buyer when placing Order from available options (for example, delivery to "Nova Poshta" branch/parcel locker, "Nova Poshta" courier delivery).
6.3
Delivery times are approximate and depend on selected delivery service. Seller not responsible for delivery delays caused by fault of delivery service.
6.4
Ownership and the risk of accidental damage to or loss of the Products pass to the Buyer upon actual receipt of the Products by the Buyer or their authorized representative.
6.5
When receiving Goods, Buyer must check integrity of packaging, completeness and appearance of Goods in presence of delivery service representative. In case of detection of damage or discrepancies, Buyer has right to refuse receipt of Goods by drawing up corresponding act with delivery service representative.
7. Goods return terms
Detailed return and exchange terms are also set out on the page Product return and exchange.
7.1. Return of substandard goods
7.1.1
In case of detection during warranty period of significant defects that arose through fault of Goods manufacturer, Buyer has rights provided by Article 8 of Law of Ukraine "On Consumer Rights Protection".
7.1.2
Claims regarding substandard Goods accepted by Seller at email address specified in section 12 of this Contract.
7.2. Return of goods of proper quality
7.2.1
Buyer has right to exchange or return goods of proper quality within 14 (fourteen) days, not counting day of purchase, if such goods not included in list of goods not subject to exchange (return).
7.2.2
Please note that significant part of mm-medic.com online store range belongs to product categories that, according to Ukraine legislation, not subject to exchange and return.
7.2.3
Below is an exhaustive list of categories of quality products not subject to exchange (return), in accordance with Resolution No. 1243 of the Cabinet of Ministers of Ukraine dated November 1, 2024, "On Approval of the List of Quality Products Not Subject to Exchange (Return)."

7.2.4
By placing Order on Site, Buyer confirms that they familiarized and agree with this list.
7.3. Right to Withdraw from a Distance Contract
7.3.1
In accordance with Article 21 of the Law of Ukraine "On Consumer Rights Protection" No. 3153-IX, the Buyer has the right to withdraw from this Agreement within 14 (fourteen) calendar days of receiving the Products without providing reasons, provided the Products are not included in the list of products not subject to exchange (return).
7.3.2
To exercise the right of withdrawal, the Buyer must notify the Seller by completing the contract withdrawal form posted on the Website or by sending a written notice to the Seller's email address.
7.3.3
The Seller is obligated to refund the Buyer's payment within 14 (fourteen) calendar days of receiving the returned Products, including delivery costs (excluding additional costs if the Buyer selected a delivery method more expensive than the standard option).
7.3.4
Return shipping costs are borne by the Buyer, unless the Seller has agreed to bear such costs.
7.3.5
If the Seller has not provided the Buyer with information about the right to withdraw from the distance contract, the withdrawal period is 12 (twelve) months from the moment of receiving the Products.
The provisions of this clause comply with Article 21 of the Law of Ukraine "On Consumer Rights Protection" No. 3153-IX and take full effect after the end of martial law in Ukraine. During martial law, the application of this clause may be limited in accordance with applicable legislation.
8. Rights and Obligations of Parties
8.1
Seller obliged to:
- Fulfill terms of this Contract.
- Transfer to Buyer Goods according to placed Order and terms of this Contract.
- Ensure confidentiality of Buyer's personal data.
8.2
Seller has right to:
- Unilaterally make changes to this Contract by publishing new version on Site.
- Involve third parties to fulfill their obligations to Buyer (delivery services, financial institutions).
8.3
Buyer obliged to:
- Timely pay and receive Order on terms of this Contract.
- Familiarize with information about Goods posted on Site.
- Provide reliable information when placing Order.
8.4
Buyer has right to:
- Demand from Seller fulfillment of terms of this Contract.
- Receive complete and reliable information about Goods.
9. Liability and Dispute Resolution
9.1
Parties bear responsibility for non-fulfillment or improper fulfillment of terms of this Contract in manner provided by this Contract and current legislation of Ukraine.
9.2
Seller not responsible for damage caused to Buyer as result of improper use of Goods purchased on Site.
9.3
Before filing a court action, the Buyer must send a written claim to the Seller at the email address specified in Section 12 of this Agreement. The claim is reviewed by the Seller within 14 (fourteen) calendar days of its receipt. If no agreement is reached through the claims procedure, the dispute is referred to a court.
9.4
All disputes arising between Buyer and Seller resolved through negotiations.
9.5
In case of failure to reach agreement through negotiations, dispute submitted to court in accordance with current legislation of Ukraine.
10. Privacy Policy and Personal Data Protection

10.1. Consent to personal data processing
10.1.1
By accepting this offer, Buyer, as personal data subject, gives their voluntary and informed consent to collection and processing by Seller of their personal data in accordance with Law of Ukraine "On Personal Data Protection".
10.2. Purpose of personal data processing
10.2.1
Buyer's personal data processed for purpose of:
- identifying Buyer for Order placement;
- processing and fulfilling Order;
- conducting payment operations;
- ensuring Goods delivery;
- providing feedback to Buyer;
- providing information about promotions and special offers (subject to separate Buyer consent).
10.3. Composition and content of processed data
10.3.1
Seller processes following Buyer's personal data: surname, first name, patronymic; contact phone number; email address; delivery address; order history.
10.4. Data transfer to third parties
10.4.1
Buyer agrees that Seller has right to transfer their personal data to third parties, exclusively in volume necessary to fulfill Order. Such third parties include:
- Delivery services (logistics operators), for example, "Nova Poshta", for Order delivery.
- Financial institutions (payment systems), including Liqpay, for processing payment for Order.
10.4.2
Seller undertakes to require such third parties to maintain confidentiality and ensure protection of Buyer's personal data.
10.5. Rights of personal data subject
10.5.1
Buyer has all rights of personal data subject provided by Article 8 of Law of Ukraine "On Personal Data Protection", in particular:
- know about sources of collection, location of their personal data, purpose of their processing;
- receive information about conditions for providing access to personal data;
- access to their personal data;
- present motivated requirement to Seller with objection to processing of their personal data;
- present motivated requirement to change or destroy their personal data;
- protection of their personal data from illegal processing and accidental loss;
- withdraw consent to personal data processing.
10.5.2
To exercise their rights, Buyer can contact Seller with written request to email address specified in section 12 of this Contract.
10.6. Security measures
10.6.1
Seller undertakes to take necessary organizational and technical measures to protect Buyer's personal data from unlawful access, destruction, distortion, blocking, copying, distribution.
11. Contract Term and Other Conditions
11.1
This Contract takes effect from moment of its acceptance by Buyer and valid until full fulfillment by Parties of their obligations.
11.2
Parties released from liability for non-fulfillment or improper fulfillment of obligations under this Contract in case of force majeure circumstances that did not exist at time of Contract conclusion and arose beyond Parties' control.
11.3
Seller reserves right to unilaterally make changes to this Contract. New version of Contract takes effect from moment of its publication on Site and applies to Orders placed after such publication.
11.4
All legal relations arising from this Contract or related to it governed by current legislation of Ukraine.
